What you’ll doSupport the Senior Tax Manager for Mergers and Acquisitions by providing best practice tax advice on current and planned transactions, ensuring compliance with all relevant laws and regulations.
Assist with comprehensive tax due diligence processes, including preparing virtual data rooms, reviewing diligence reports, and responding to purchaser queries as required.
Identify alternative transaction structures to inform commercial decisions and prepare detailed tax structuring reports for senior stakeholders.
Work closely with business development teams to assess new ideas and business cases, adding value through commercially appropriate tax guidance.
Collaborate with external advisors and internal teams to deliver robust tax solutions tailored to complex transactional scenarios.
Advise on international tax matters adjacent to transactions, such as capital structure optimisation, financing arrangements, and cash repatriation strategies across multiple jurisdictions.
Provide expert input on UK treasury tax issues including loan relationships, foreign exchange matters, loan restructures, and transfer pricing for intercompany debt.
Contribute to the design and implementation of strategic tax initiatives that drive value for the organisation while managing risk effectively.
Engage proactively with key personnel across Group Tax and other business units to foster strong working relationships that enhance overall business outcomes.
Participate in safety audits and demonstrate commitment to health, safety, environmental standards, and organisational values.
What you bringProven experience in a similar mergers and acquisitions-focused tax role within commerce or professional services (Big 4 accounting firm or law firm experience highly desirable).
Comprehensive understanding of the UK tax system with particular emphasis on its application to transactions, financing arrangements, and treasury activities.
Demonstrated knowledge of international tax principles including residence rules; experience advising on cross-border structuring is advantageous.
Practical experience with transfer pricing issues related to loan relationships would be beneficial.
Ability to analyse complex information sets quickly and extract pertinent facts for sound tax analysis.
Strong commercial acumen enabling you to understand broader business impacts of your advice.
Excellent communication skills-both written and verbal-with confidence presenting ideas effectively to senior management audiences.
Well-developed analytical thinking combined with effective planning skills; able to manage multiple concurrent tasks under tight deadlines.
High-level proficiency in spreadsheet software (e.g., Excel) and other analytical tools relevant for financial modelling or scenario analysis.
Chartered Accountant qualification or equivalent accounting/legal degree required; additional certifications in taxation or finance are advantageous.
