Senior Equity Incentives Lawyer

on a

12-month fixed-term contract

to join their high-performing Corporate Legal team. This role will assume increased strategic ownership during a critical period.The OpportunityReporting to the Group Head of Corporate Legal, this role will serve as the

lead legal advisor on all equity incentives matters —including design, implementation, and governance of global employee equity schemes. You will help harmonise share plan frameworks internationally and support pre-listing structuring activities, shaping the legal infrastructure for long-term growth.This is a senior, commercially minded lawyer role operating at the intersection of law, compensation, and corporate strategy within a dynamic, globally integrated insurance group. The position is based in London with hybrid working.What You’ll Be DoingLeading legal design, drafting, and deployment of equity incentive arrangements (RSUs, PSUs, profit interests, bespoke plans)Supporting legal structuring and readiness for potential listings (e.g., IPO prep)Advising on executive and leaver equity provisions, including high-value packagesDeveloping a scalable, consistent equity framework across jurisdictionsAssisting in developing an internal employee share market (buy/sell mechanisms)Collaborating with HR, Finance, and external counsel to ensure cross-border legal compliance (UK, US, EU, others)Providing legal guidance on equity-linked elements of MandA and corporate activitiesWhat We’re Looking ForQualified solicitor (England and Wales or equivalent) or US-qualified attorney6+ years’ PQE with experience in equity incentive plans across jurisdictionsExpertise in international employee compensation structures, preferably within founder-led or high-growth firmsStrong understanding of governance, regulatory, and commercial considerations pre- and post-listingExcellent interpersonal and communication skills with cross-functional collaboration experiencePragmatic, solutions-focused, able to thrive in a fast-paced environmentWhat’s on OfferThis
